Terms of Service

1. Parties

These terms ("Terms") form a binding agreement between you ("Customer", "you") and Bijan Vesper, sole proprietor in Switzerland ("Backplate", "we", "us"), governing your use of the Backplate website, plugin, and API (collectively the "Service"). By creating an account or installing the plugin you accept these Terms.

2. The Service

Backplate is an AI-assisted background replacement tool delivered as a plugin for DaVinci Resolve (OpenFX) and Adobe Premiere Pro (UXP), backed by a hosted generation API. The Service generates background imagery from a video frame and a text prompt you supply, and composites the result under a matte you provide.

3. Account

You must register an account with a valid email address. You are responsible for keeping your credentials confidential and for all activity under your account. You must be at least 16 years old, or the age of digital consent in your jurisdiction. One account per person or entity.

4. License grant

Subject to these Terms and your active token balance, we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable license to install and use the Backplate plugin on machines you own or control, for both personal and commercial work. The license is revoked if your account is suspended or terminated for cause.

The plugin software, the API, the website, and the Backplate name and marks are owned by us. No rights are granted other than the license above.

5. Tokens, pricing, and payment

The Service operates on a token model. One generation request consumes one token. Tokens are sold in packs at the prices listed on the pricing page. New accounts receive five tokens at no charge upon email verification.

• Tokens never expire.
• Token packs are sold in CHF. Applicable VAT, GST, or sales tax is added at checkout by our payment processor.
• Payment is processed by Paddle.com Market Limited as Merchant of Record. Paddle's terms apply to the payment transaction itself.
• Token balance and ledger are visible at your account page.

6. Refunds

You may request a refund of unused tokens within 14 days of purchase. Used (consumed) tokens are not refundable. Refunds are issued to the original payment method via Paddle and typically arrive within 5–10 business days. Email billing@backplate.ai with your account email and order reference.

7. Acceptable use

You agree not to use the Service to generate, transmit, or store content that:

• Depicts child sexual abuse material (CSAM) or sexualises minors in any form.
• Depicts non-consensual intimate imagery, or any imagery of an identifiable real person without their consent in a defamatory, harassing, or misleading context.
• Promotes terrorism, violent extremism, or incitement of violence against persons.
• Infringes the intellectual property, privacy, or publicity rights of any third party.
• Violates applicable export controls, sanctions, or other laws of Switzerland, the European Union, or your jurisdiction.

You also agree not to: (a) attempt to bypass authentication, rate limits, or token deduction; (b) reverse-engineer the plugin except as permitted by mandatory law; (c) resell or sublicense the Service or tokens; (d) use the Service to train competing models.

We may suspend or terminate accounts that violate this section, and may retain ledger and security data as needed to investigate.

8. Your content and outputs

You retain all rights to the video frames and prompts you submit ("Inputs"). You grant us a temporary, limited license to process Inputs solely to deliver the requested generation; we do not retain Inputs after the request completes (see the Privacy Policy).

To the extent we hold any rights in the generated background ("Outputs"), we assign them to you. You own the Outputs and may use them for personal or commercial work without further obligation to us.

You are responsible for confirming that your Inputs do not infringe third-party rights and that your use of Outputs complies with applicable law. Generative AI outputs may unintentionally resemble protected works; you assume that risk.

9. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may schedule maintenance or roll out updates without notice. Cached generations remain usable offline; new generations require connectivity.

If a generation fails for technical reasons on our side, the consumed token is automatically refunded to your balance.

10. Third-party services

The Service depends on third parties including Google (Gemini API), Hetzner (hosting), Resend (email), and Paddle (payments). Outages or policy changes by these providers may affect the Service. We are not liable for third-party actions or downtime, but will use reasonable efforts to mitigate.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. Generative AI outputs are probabilistic — quality and content vary, and we make no warranty as to specific results.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from or relating to the Service is limited to the total amount you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption.

Nothing in these Terms excludes liability that cannot be excluded by mandatory law (including liability for intentional misconduct or gross negligence under Swiss law, or for damage caused by a defective product under applicable product liability statutes).

13. Termination

You may terminate your account at any time by emailing hello@backplate.ai. We may terminate or suspend access for material breach of these Terms, abuse, non-payment, or where required by law. Unused tokens are refundable on termination by us, except where termination follows a violation of Section 7.

14. Changes to these Terms

We may update these Terms. Material changes are announced by email to registered users at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. The "last updated" date at the top reflects the current version.

15. Governing law and venue

These Terms are governed by the substantive law of Switzerland, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction is Zürich, Switzerland, subject to mandatory consumer protection law that may grant consumers the right to sue in their place of residence.
